27. (Repealed).

27. No member of the board of directors of a corporation may take part in the discussion of a matter in which he has a personal interest.
The other members of the board of directors shall decide, in case of a dispute, whether the member contemplated in the preceding paragraph has a personal interest in the matter; such member has no right to vote in determining whether he has such an interest.
