2216. Every partner has the right to participate in collective decisions, and the contract of partnership may not prevent him from exercising that right.
Unless otherwise stipulated in the contract, collective decisions are taken by a majority vote of the partners, regardless of the value of their interests in the partnership, but collective decisions to amend the contract of partnership are taken by a unanimous vote.
