5. Notwithstanding sections 2 and 3, a meeting of the board of directors is considered to be regularly held if all the members are present and waive the notice of meeting or, where they are not present or physically in attendance at the place where a meeting of the board of directors is held, all the members take part in a conference call and waive the notice of meeting.
