9. Any vacancy on the board of directors, other than in the position of president and chief executive officer, shall be filled in accordance with the rules of appointment to the board.
Absence from the number of board meetings determined in the internal by-laws of the Société, in the cases and circumstances specified therein, constitutes a vacancy.

9. Any vacancy on the board of directors, other than in the position of chief executive officer, shall be filled for the unexpired portion of the term of the member to be replaced.
Absence from the number of board meetings determined in the internal by-laws of the Société, in the cases and circumstances specified therein, constitutes a vacancy.

9. A majority of the members of the board of directors constitutes a quorum.
If votes are equally divided, the person presiding over the board of directors has a casting vote.
