Regulation authorizing the signing by a functionary of certain deeds, documents and writings of the Ministère des Transports
Act respecting the Ministère des Transports

DIVISION 1
GENERAL
1. Unless expressly provided to the contrary, only the position holders acting under the authority of the Minister of Transport are concerned.

1.0.1. The holders, on a permanent or provisional basis, by interim or by temporary designation, of positions referred to hereinafter are authorized to sign alone and with the same authority as the Minister of Transport the deeds, documents and writings listed after their respective positions.

1.0.2. For the purposes of this Regulation,
(1)  the following mean
“assistant director general”: a person who manages an administrative unit whose name begins with “Direction générale adjointe”; (directeur général adjoint);
“assistant territorial director”: a person who manages an administrative unit whose name begins with “Direction adjointe” and who is directly under a territorial director; (directeur territorial adjoint)
“director”: a person who manages the Deputy Minister’s office, the Bureau de gestion de projet de l’axe routier 73/175, the Bureau de la coordination du Nord-du-Québec, the Centre de gestion de l’équipement roulant or an administrative unit whose name begins with “Direction”, except the Direction des projets de transport collectif et de la planification métropolitaine, the Direction des projets routiers stratégiques and those whose name begins with “Direction générale” or “Direction adjointe”; (directeur)
“director general”: a person who manages an administrative unit whose name begins with “Direction générale”, except the administrative unit whose name begins with “Direction générale adjointe”; (directeur général);
“division head”: a person who manages an administrative unit whose name begins with “Division”; (chef de division)
“head of operations”: a person who manages workers within an administrative unit whose name begins with “Centre de services” or “Division” and who is directly or indirectly under a territorial director; (chef des opérations)
“service head”: a person who manages an integrated traffic management centre or an administrative unit whose name begins with “Service”, “Centre de services” or “Centre d’opérations”; (chef de service)
“territorial branch”: any administrative unit managed by a territorial director; (direction territoriale)
“territorial director”: the Director of the Direction du transport maritime, aérien et ferroviaire and a director who is directly or indirectly under the Director General for territories; (directeur territorial)
(2)  an assistant territorial director, the head of the Service du transport ferroviaire and a service head who is directly under the Director of the Direction des projets routiers stratégiques are authorized to sign any document that may be signed by a head of the Service des projets of a territorial directorate.

1.0.3. Only a functionary of the Centre de gestion de l’équipement roulant referred to in Division 5.2 may sign a deed, document or writing related to the accomplishment of the centre’s mandate. The functionary may only sign the deeds, documents or writings referred to in that Division.

1.2. The Québec sales tax (QST) and the goods and services tax (GST) or, where applicable, the harmonized sales tax (HST) are not included in the amounts provided for in this Regulation.

2. Subject to section 1.0.3, an associate deputy minister, an assistant deputy minister, a director general and the Assistant Director General of the Direction générale adjointe à la coordination des ressources are authorized to sign
(1)  any contract, including any deed cancelling a contract, any application, agreement, deed, authorization, permit or other document referred to in this Regulation, regardless of the amount in question;
(2)  any contract for the acquisition of materials prior to payment by the Minister of Transport of advances on a construction or maintenance contract that must be executed by the contractor who prepared and reserved those materials for the realization of work required for the purposes of Division III of Chapter II of the Act respecting roads (chapter V-9) and section 9.5 of the Cahier des charges et devis généraux of the Ministère des Transports, edited by Les Publications du Québec, as amended;
(3)  any document confirming the granting of subsidies in accordance with the standards of a subsidy program.
An assistant director general who does not hold any of the positions listed in the first paragraph, the Director of the Direction des projets de transport collectif et de la planification métropolitaine and the Director of the Direction des projets routiers stratégiques are authorized to sign, for the purpose of accomplishing the mandate of the administrative unit for which they are responsible, the documents referred to in subparagraph 1 of the first paragraph, except the contracts and documents referred to in subparagraphs 2 and 3 of the first paragraph.

3. The Director of the Direction des contrats et des ressources matérielles, the Director of Laboratoire des chaussées and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a director and a service head are authorized to enter into contracts in an emergency situation, when the safety of persons or property is in jeopardy, in accordance with subparagraph 8 of the second paragraph of section 16 of the Regulation respecting supply contracts, construction contracts and service contracts of government departments and public bodies (O.C. 961-2000, 2000-08-16).

CONTRACTS
§ 1.  — Construction contracts
4. The Director of the Direction des contrats et des ressources matérielles, the Head of the Service de la gestion contractuelle, the Head of the Service du soutien aux occupants, the Head of the Service des acquisitions and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director, the head of a Service des projets and the head of a Service des inventaires et du plan are authorized to sign any construction contract.

5. A director, a service head other than those referred to in section 4, a division head and a head of operations are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a construction contract for an amount less than $100,000.

§ 2.  — Supply contracts
7. The Director of the Direction des contrats et des ressources matérielles, the Head of the Service du soutien aux occupants and the Head of the Service des acquisitions are authorized to sign any supply contract that the Minister of Transport may enter.
A director, including the Director of Legal Affairs and the Director of Communications, the Assistant Director of the Direction des communications, a service head, including a service head of the Direction des communications, a division head and a head of operations are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a supply contract referred to in the first paragraph, up to $25,000 or, in the case of granular materials, up to $200,000.

8. The person responsible for the supplies of a directorate or service is authorized, for the purposes of accomplishing the mandate of the administrative unit to which the person is attached, to sign any supply contract for an amount less than $5,000.

8.1. A functionary who holds or bears a credit card issued on behalf of the Ministère des Transports is authorized to sign, in the performance of the functionary’s duties and for the purpose of accomplishing the mandate of the administrative unit to which the functionary is attached, the documents concerning the acquisition of eligible goods or services within the meaning of the agreement entered into with the credit card issuer up to the maximum amount authorized for each transaction.

9. The Director of the Direction des contrats et des ressources matérielles, Head of Service des acquisitions, the Head of Service de la gestion contractuelle, the Director of the Laboratoire des chaussées, the Head of the Service de la géotechnique et de la géologie and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director, the Head of the Service des projets and the Head of the Service des inventaires et du Plan d’une direction territoriale are authorized to sign, for the purposes of Division III of Chapter II of the Act respecting roads (chapter V-9), a contract allowing the removal of natural materials required for road work.

9.1. A director and a service head who are not governed by section 9, a Head of division and a head of operations are authorized to sign a contract covered by section 9 the amount of which is lower than $100,000.

§ 3.  — Service contracts
10. The Director of the Direction des contrats et des ressources matérielles and the Head of the Service de la gestion contractuelle are authorized to sign any service contract.

11. A director, including the Director of Legal Affairs and the Director of the Direction des communications, the Assistant Director of the Direction des communications, a service head, including a service head of the Direction des communications, a division head and a head of operations are authorized to sign any auxiliary service contract, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible.

11.1. A director, including the Director of Legal Affairs and the Director of the Direction des communications, the Head of the Service de la gestion contractuelle, a head of the Service du soutien aux occupants, the Head of the Service des acquisitions, a head of the Service des projets and a head of the Service des inventaires et du Plan are authorized to sign any professional service contract, except those referred to in section 11.2, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible.
The Assistant Director of the Direction des communications, a service head, including a service head of the Direction des communications, a division head and a head of operations are authorized to sign a professional service contract referred to in the first paragraph for an amount less than $25,000, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible.

11.2. The Director of the Laboratoire des chaussées, the Director of the Direction des structures, the Director of the Direction de l’environnement et de la recherche, the Director of the Direction des contrats et des ressources matérielles, the Head of the Service de la gestion contractuelle and the Head of the Service de la coordination de la recherche et de l’innovation are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any research contract entered into with a university, a government body or a non-profit teaching or research organization.

12. The Director of the Direction des contrats et des ressources matérielles, the Head of the Service de la gestion contractuelle and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director, a service head within a territorial directorate and a division head are authorized to sign any service contract for highway snow removal.

§ 3.1.  — Legal service contracts

13. The Director of the Direction de la planification budgétaire et de l’expertise immobilière, the Head of the Service de l’expertise immobilière, the Director of the Direction des contrats et des ressources matérielles, the Head of the Service de la gestion contractuelle and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director and a service head within a territorial directorate are authorized to sign any legal service contract.

§ 4.  — Rental and concession contracts
14. The Director of the Direction de la planification budgétaire et de l’expertise immobilière, the head of the Service de l’expertise immobilière, the Director of the Direction des contrats et des ressources matérielles, the Head of the Service du soutien aux occupants and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director and a service head within a territorial directorate are authorized to sign
(1)  leases, loans for use and assignments of rights of use or of surface property affecting immovables under the authority of the Minister of Transport; and
(2)  leases granted to lessees of premises, lands, wharfs or other State property forming part of harbour, airport or railway installations.

15. A director is authorized to sign any contract granting a concession or an authorization to operate a property or service.

16. A director, including the Director of Legal Affairs and the Director of the Direction des communications, the Assistant Director of the Direction des communications, a service head, including a service head of the Direction des communications, a division head and a head of operations are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any contract by which the State becomes the lessee of all or part of an immovable.

§ 5.  — Sales contracts for property and the supply of services

16.1. A director and a service head are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any contract for the sale of movable property or for the supply of services.

16.2. The Director of the Direction des contrats et des ressources matérielles, the Head of the Service du soutien aux occupants and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a director, a service head, a division head, a head of operations and a person responsible for supplies are authorized to sign any contract for the sale of the surplus stores referred to in section 8 of the Règlement sur la disposition des biens meubles excédentaires (chapter A-6.01, r. 2).

16.3. The Director of the Direction de la gestion financière et de l’information is authorized to sign any contract or document concerning the use and acceptance of credit and debit cards and the collection of any amount of money by any means of collection.

DIVISION 3
APPLICATIONS AND AGREEMENTS
17. A territorial director is authorized to sign, for the purpose of accomplishing the mandate of the administrative unit for which he or she is responsible, any application submitted to the Minister of Transport, Infrastructure and Communities of Canada or the Canadian Transportation Agency concerning safety at intersections of public highways and railroads and any application submitted to the National Energy Office of Canada concerning the construction of a road above a pipeline or the carrying out of work near a pipeline.

18. The Director of the Direction du transport maritime, aérien et ferroviaire, the Head of the Service du transport ferroviaire, the Director of the Direction du transport routier des marchandises, the Director of the Direction de l’environnement et de la recherche, the Head of the Service de la coordination de la recherche et de l’innovation and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director and a service head within a territorial directorate are authorized to sign
(1)  any agreement for the purpose of executing a decision granting an application referred to in section 17;
(2)  any agreement with a railway corporation for the purposes of the Act respecting roads (chapter V-9) or the Act to ensure safety in guided land transport (chapter S-3.3); and
(3)  any agreement pertaining to the installation and maintenance of the equipment necessary for supplying telecommunications services and energy transportation and distribution services, except an agreement pertaining to the installation of equipment or material within the right-of-way of a highway.
The Director of the Direction des contrats et des ressources matérielles, the Head of the Service du soutien aux occupants and the Head of the Service des acquisitions are authorized to sign the agreements referred to in subparagraph 3 of the first paragraph.

19. The Director of the Direction des contrats et des ressources matérielles, the Head of the Service du soutien aux occupants, the Head of the Service des acquisitions and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, the Director of the Direction des communications, a territorial director and a head of the Service du soutien à la gestion are authorized to sign any agreement with the Société québécoise des infrastructures.

20. The Director of the Direction de la planification budgétaire et de l’expertise immobilière, the Head of the Service de l’expertise immobilière and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director and a service head within a territorial directorate are authorized to sign
(1)  any acquisition agreement and any settlement of a claim in respect of an acquisition for the purposes of the Act respecting roads (chapter V-9) or the Act respecting the Ministère des Transports (chapter M-28); and
(2)  any declaration of an out-of-court settlement filed in the Administrative Tribunal of Québec.

21. The Director of the Direction de la gestion financière et de l’information and, for the purposes of accomplishing the mandate of the administrative unit for which he or she is responsible, a territorial director are authorized to sign any settlement in consequence of an extracontractual claim.
The Head of the Service de la comptabilité et des contrôles financiers and, for the purposes of accomplishing the mandate of the administrative unit for which he is responsible, a service head within a territorial directorate are authorized to sign any settlement in consequence of an extracontractual claim where the amount in question is equal to or less than $5,000.

22. The Director of the Direction des contrats et des ressources matérielles and the Head of the Service de la gestion contractuelle are authorized to sign any settlement in consequence of a contractual claim.

DIVISION 4
DEEDS, PERMITS AND OTHER DOCUMENTS
23. The Director of the Direction de la planification budgétaire et de l’expertise immobilière and, for the purposes of accomplishing the mandate of the administrative unit for which he or she is responsible, a territorial director are authorized to sign the following documents:
(1)  any notarized deed required for the purposes of the Mining Act (chapter M-13.1), the Act respecting the Ministère des Transports (chapter M-28), the Act respecting roads (chapter V-9), the Metropolitan Boulevard Act (1960-61, chapter 61) and the Act respecting the building of a section of Highway 30 between Châteauguay and Sainte-Catherine (1990, chapter 33);
(1.1)  any deed of assignment under private seal of a building or other construction;
(2)  any deed of retrocession for the purposes of the Act respecting retrocessions of rights acquired by the Government by expropriation before 1 April 1976 (1986, chapter 90);
(3)  any acquisition of an immovable from the Director, the Veterans’ Land Act;
(4)  any permit and any notice transmitted for the purposes of the Act respecting roads;
(4.1)  any permission to temporarily occupy an immovable;
(5)  any notarized deed and any document required for the purposes of the Public Infrastructure Act (chapter I-8.3);
(6)  any notarized deed and any document required for the purposes of the Act respecting the Agence métropolitaine de transport (chapter A-7.02) and the Act respecting the reconstruction and redevelopment of the areas affected by the torrential rains of 19 and 20 July 1996 in the Saguenay-Lac-Saint-Jean region (1997, chapter 60).

24. The Head of the Service de l’expertise immobilière and, for the purposes of accomplishing the mandate of the territorial directorate to which he is attached, a service head within a directorate are authorized to sign any deed referred to in paragraphs 1 to 4.1 of section 23, except for a permit to encroach upon the right of way of a road issued in respect of a building under section 38 of the Act respecting roads (chapter V-9).

25. A territorial director and a service head within a territorial directorate are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any document to transfer an immovable under section 11.5.1 of the Act respecting the Ministère des Transports (chapter M-28), any plan for acquisition or alienation, any cadastral document, any certificate of localization, any certificate of staking or any minutes of a boundary-marking operations.

26. The Director of the Direction de la sécurité en transport and, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, a territorial director and a service head within a territorial directorate are authorized to sign, for the purposes of sections 303.1, 329 and 627 of the Highway Safety Code (chapter C-24.2), any document
(1)  evidencing a change in the speed limit for all road vehicles or for certain categories thereof; or
(2)  approving a by-law, resolution or ordinance passed or issued by a municipality relating to the rate of speed.

27. A territorial director, a service head within a territorial directorate, a division head within such a directorate and a head of operations are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, authorizations granting access to a road.

28. A territorial director, a service head within a territorial directorate, a division head within such a directorate and a head of operations are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible
(1)  any advertising permit issued for the purposes of section 7 of the Roadside Advertising Act (chapter P-44) and any document evidencing the revocation of such a permit under the second paragraph of section 10 of that Act;
(2)  any document evidencing an authorization given for the purposes of section 304 of the Highway Safety Code (chapter C-24.2); and
(3)  any document evidencing an authorization granted for the purposes of sections 49, 50, 115 and 118 of the Regulation respecting snowmobiles (chapter V-1.2, r. 1).

29. A territorial director, the head of a Service des projets and the head of a Service des inventaires et du plan are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any document of the Minister of Transport referred to in sections 149 to 165 of the Act respecting land use planning and development (chapter A-19.1).

29.1. A Director is authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which he is responsible, any document authorizing projects or approving costs and any document confirming the granting of subsidies, issued in accordance with the standards of a subsidies program.

29.2. The Director of the Direction du transport terrestre des personnes, the Head of the Service des politiques et des programmes and, for the purposes of accomplishing the mandate of the administrative unit for which he or she is responsible, a territorial director are authorized to sign any authorization for capital expenditures of a public transport government body giving rise to a loan by-law made by that body and submitted for the approval of the Minister of Municipal Affairs, Regions and Land Occupancy.

29.3. The Director of the Direction de la gestion financière et de l’information is authorized to sign any document related to the establishment and modification of the retention schedule of the department’s documents, pursuant to the Archives Act (chapter A-21.1).

30. The Director of the Direction du transport routier des marchandises is authorized to sign, for the purposes of sections 627 and 628 of the Highway Safety Code (chapter C-24.2), any document
(1)  approving a by-law, resolution or ordinance passed or issued by a municipality, except for one relating to the rate of speed; and
(2)  withdrawing all or part of any approval referred to in subparagraph 1.
A territorial director and a service head within a territorial directorate are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, the documents referred to in the first paragraph.

SIGNATURES AFFIXED BY MEANS OF AN AUTOMATIC DEVICE AND FACSIMILES

31.1. The signature of the Minister of Transport may be affixed by means of an automatic device on a special permit issued under section 633 of the Highway Safety Code (chapter C-24.2) or a facsimile of that signature may be engraved, lithographed or printed on that permit.

CENTRE DE LA GESTION DE L’ÉQUIPEMENT ROULANT

31.1.1. The Director of the Centre de gestion de l’équipement roulant is authorized to sign, for the purposes of accomplishing the mandate of the Centre, any contract, including any deed cancelling a contract, any application, agreement, deed, authorization, permit or other document referred to in this Regulation, regardless of the amount in question.
The Director of Operations and Client Services is authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which he or she is responsible, any contract, including any deed cancelling a contract, any agreement, deed or other document referred to in this Division, section 3, the second paragraph of section 7 or any of sections 11, 11.1, 13 to 16.2, 19 and 21.

31.2. A service head and a division head of the Centre are authorized to sign, for the purposes of accomplishing the mandate of the Centre, any contract, including any deed cancelling a contract, agreement, deed and other document referred to in this Division or in section 16, 16.1, 16.2, 19 or 21.

31.3. The person responsible for engineering and acquisitions, the person responsible for administration and the person responsible for information systems are authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which they are responsible, any supply contract, auxiliary service contract or professional service contract for an amount not exceeding $25,000, any contract for the sale of movable property or for the supply of services, any contract for the sale of surplus movable property and any contract for the leasing of rolling stock.

31.4. A regional exploitation manager is authorized to sign, for the purposes of accomplishing the mandate of the administrative unit for which he is responsible, any supply contract, auxiliary service contract or professional service contract for an amount not exceeding $25,000, any contract for the sale of surplus movable property and any contract for the leasing of rolling stock.

31.5. Any person in charge of supplies is authorized to sign, for the purposes of accomplishing the mandate of the administrative unit to which he is attached, any supply contract or auxiliary service contract for an amount not exceeding $10,000.

31.6. Any employee assigned to machine shops is authorized to sign, for the purposes of accomplishing the mandate of the administrative unit to which he is attached, any supply contract or auxiliary service contract for an amount not exceeding $5,000.

31.7. A functionary who holds or bears a credit card issued on behalf of the Ministère des Transports is authorized to sign, in the performance of the functionary’s duties and for the purpose of accomplishing the mandate of the administrative unit to which the functionary is attached, the documents concerning the acquisition of eligible goods or services within the meaning of the agreement entered into with the credit card issuer up to the maximum amount authorized for each transaction.
