123.73. Any natural person may be a director, except
(1)  a person who is under eighteen years of age;
(2)  a person of full age under tutorship;
(3)  a person declared incapable by a court in another province or in another country;
(4)  an undischarged bankrupt.

(3)  a person of unsound mind, who has been declared incapable by a court in another province or in another country;
(4)  an undischarged bankrupt.

123.73. The Attorney General or any person who has an interest if authorized in writing by the Attorney General may demand the dissolution of a company or the cancellation of the articles and of the certificate pertaining thereto where the certificate has been obtained by fraud or in ignorance of some material fact or where the articles contain illegal provisions or false or erroneous statements.
The Court may dissolve a company or cancel the articles and the certificate the cancellation of which is demanded.
