23.6. No document is binding on or may be attributed to the Board unless it is signed by the chair of the board of directors or the president and chief executive officer or, to the extent provided for in the instrument of delegation of powers or in the internal by-laws of the Board, by a member of its board of directors or personnel.
The Board may, on the conditions it fixes, allow a signature to be affixed by means of an automatic device to the documents it determines. It may also allow a facsimile of the signature to be engraved, lithographed or printed on the documents it determines. The facsimile has the same force as the signature itself.
The Board may also, on the conditions it fixes, allow a document to be binding on it or attributed to it without it being signed.
