123.33. In no case may third persons invoke against the company the restrictions imposed on its operations by its articles.

123.33. The affairs of a company shall be managed by a board of one or more directors. However, where any of the issued securities of a company were part of a distribution to the public and are outstanding, the board shall have not fewer than three directors.
